These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Solutio Agency, operating through Solutio LLC, a Wyoming Limited Liability Company (USA), and Solutio Global Ltd, a Limited Company registered in the United Kingdom (collectively "Solutio Agency," "we," "us," or "our"). By accessing joinsolutio.com, submitting an inquiry, entering into a service agreement, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or do not agree to these Terms, you must not access our website or engage our Services.
We provide paid media strategy, campaign creation, management, and optimization across platforms including Meta (Facebook, Instagram), Google Ads, TikTok Ads, and Snapchat. These services are provided on a retainer or project basis as agreed in a separate service agreement.
Active campaign management includes daily optimization, budget management, creative testing, and reporting. The scope of management is defined in the client's service agreement. We are not responsible for platform-side changes, policy updates, or automated restrictions that affect campaign performance outside our direct control.
Where included in a service agreement, we provide access to premium advertising environments managed through our agency relationships. This access is conditional on the Client's continued engagement with our managed advertising Services and compliance with Meta's advertising policies. Access may be revoked if the Client violates applicable platform policies or these Terms. See Section 7 for full terms.
We assist clients in forming US Limited Liability Companies (Wyoming or Delaware) and UK Limited Companies. Formation services include preparation and filing of formation documents, EIN applications, and coordination with registered agent services. We do not provide legal advice and recommend clients consult qualified attorneys for complex legal or tax questions.
Where we offer downloadable guides, templates, frameworks, or other digital products, these are provided "as is" for informational purposes. No specific results are guaranteed from using digital products.
We provide strategic consulting and advisory services regarding growth strategy, paid media architecture, and business infrastructure. Consulting engagements are subject to separate agreements and are provided as professional opinions based on our experience. Results are not guaranteed.

Solutio reserves the right to refuse service to any client, business, or entity at our sole discretion, particularly for:
You represent and warrant that all information provided to us — including business details, advertising objectives, financial information, and legal documents — is accurate, complete, and not misleading. You agree to promptly notify us of any material changes to this information. We rely on the accuracy of client-provided information and are not responsible for consequences arising from inaccurate or incomplete information you provide.
You are solely responsible for ensuring that your business, products, services, and advertising content comply with all applicable laws and regulations in your jurisdiction and in any jurisdiction where you operate or advertise. This includes but is not limited to consumer protection laws, advertising standards, data protection regulations, financial regulations, and platform-specific terms of service. We may decline to create or run campaigns that we reasonably believe violate applicable laws or platform policies.
Service fees are as stated in your service agreement, proposal, or invoice. Unless otherwise specified, invoices are due within 7 calendar days of issuance. Payments may be made via bank transfer, Wise, or other methods agreed in advance. All fees are in USD unless otherwise stated. Late payments may incur interest at 1.5% per month on the outstanding balance, and we reserve the right to suspend Services for accounts in arrears exceeding 14 days.
With limited exceptions described in our Refund Policy, services rendered, digital products delivered, and formation services completed are non-refundable. See our Refund Policy for detailed terms.
Initiating a payment chargeback or dispute without first attempting resolution directly with Solutio Agency is a material breach of these Terms. In the event of a fraudulent or unjustified chargeback, we reserve the right to immediately terminate all Services, pursue recovery of all fees plus costs, and report the matter to applicable collection services. All chargeback costs and processing fees will be charged to the Client.
We are a service provider, not a guarantor of business results. While we apply professional skill and best practices to deliver our Services, we make no warranties, express or implied, regarding specific outcomes including but not limited to revenue generated, return on ad spend (ROAS), cost per acquisition (CPA), lead volume, conversion rates, or any other performance metric.
Advertising performance is influenced by numerous factors outside our control, including but not limited to: algorithm changes on advertising platforms, market competition, seasonality, product-market fit, website conversion rate, customer behavior, and macroeconomic conditions. Past results reported in our case studies do not guarantee similar outcomes for your business.
Agency Ad Account access is provided as a component of a managed advertising engagement. The following terms apply specifically to this service:
Formation services are provided for administrative assistance only. We are not attorneys and do not provide legal advice. Formation fees cover document preparation, filing coordination, and registered agent setup. We are not responsible for rejection of filings due to name conflicts, incomplete information provided by the Client, or regulatory changes. Tax obligations, ongoing compliance, and legal responsibilities of the formed entity remain solely with the Client.
Upon full payment of applicable fees, you receive a non-exclusive, non-transferable license to use deliverables created specifically for you (such as ad creatives, landing pages, and copy) for your own business purposes. All methodologies, frameworks, processes, templates, and proprietary systems developed by Solutio LLC remain our exclusive intellectual property and are licensed to you only for use within the scope of the engagement.
Both parties agree to maintain the confidentiality of the other party's proprietary and sensitive business information disclosed during the engagement. Neither party will disclose such information to third parties without prior written consent, except as required by law. This obligation survives termination of the service agreement for a period of three (3) years.
You agree not to use our Services for any unlawful purpose, to promote illegal products or services, to engage in fraud or deception of any kind, to violate third-party intellectual property rights, or to engage in conduct that could damage the reputation or business relationships of Solutio LLC. We reserve the right to terminate services immediately for violations of this provision.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLUTIO LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Solutio LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Services; (c) your violation of any applicable law or regulation; (d) your violation of third-party rights; or (e) any content, products, or services you promote using our Services.
Either party may terminate a service agreement by providing written notice in accordance with the notice period specified in that agreement (typically 30 days for retainer engagements). We may terminate immediately for material breach, including non-payment, policy violations, or fraudulent activity. Upon termination, all outstanding fees become immediately due and payable. We are not obligated to provide refunds for services already delivered.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients and posted on joinsolutio.com with an updated effective date. Your continued use of our Services after the effective date of any change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Services shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in Cheyenne, Wyoming. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
